Terms of Service

These Terms of Service ("Terms") govern the provision of services by Bright Sparks AI Ltd, a company registered in England and Wales ("Bright Sparks AI", "we", "us" or "our"), to the business entering into an agreement with us for those services ("Client", "you" or "your"). By engaging Bright Sparks AI or using our services, you agree to these Terms.
1. Services
Bright Sparks AI provides AI-powered call answering, missed-call text-back, web chat, calendar booking, review management and related digital reception services to independent home service businesses (the "Services"). The specific Services provided to a Client, and any associated setup or configuration, are as agreed in the applicable order form, statement of work or online sign-up process.
2. Fees and payment
Fees for the Services are as set out in the applicable order form or pricing agreed with the Client. Unless otherwise agreed in writing, fees are billed in advance on a recurring basis and are payable by the due date shown on the relevant invoice. Late payments may result in suspension of the Services. All fees are exclusive of applicable taxes unless stated otherwise.
3. Term and cancellation
These Terms apply for as long as the Client subscribes to the Services. Either party may cancel the Services by providing notice in accordance with the notice period set out in the applicable order form, or, where no such period is specified, not less than 30 days' written notice. We reserve the right to suspend or terminate the Services immediately if the Client breaches these Terms or fails to pay fees when due. No refunds are provided for periods already paid for, except where required by law.
4. Acceptable use
You agree not to use the Services to:
- send unlawful, misleading, threatening, abusive or harassing communications;
- send messages to individuals who have not consented to receive them, or otherwise violate applicable telemarketing, messaging or data protection laws;
- transmit malicious code or attempt to interfere with the operation of the Services;
- use the Services in a manner that infringes the intellectual property or other rights of any third party; or
- attempt to reverse engineer, resell or white-label the Services without our consent.
We reserve the right to suspend the Services where we reasonably believe they are being used in breach of this section.
5. Client responsibilities
The Client is responsible for ensuring that any data, scripts, business information and contact lists provided to us for use in connection with the Services are accurate and that the Client has the necessary rights and consents to permit their use as intended, including consent from End Users to receive SMS and other communications as described in ourSMS Consent policy.
6. Intellectual property
Bright Sparks AI retains all rights, title and interest in and to the Services, including any software, workflows, website templates and materials we develop, excluding any pre-existing Client materials or content. Where we build and host a website for a Client as part of the Services, the Client is granted a licence to use that website for as long as they subscribe to the relevant Service, subject to the terms of the applicable order form.
7. Limitation of liability
To the maximum extent permitted by law, Bright Sparks AI shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, revenue, business or data, arising out of or in connection with the Services. Our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by the Client to Bright Sparks AI in the three months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence or for fraud.
8. Disclaimer
The Services rely on third-party telephony, messaging and automation platforms, and on AI-generated responses. While we take reasonable steps to ensure accuracy and reliability, we do not guarantee that the Services will be uninterrupted, error-free, or that AI-generated responses will always be accurate or appropriate, and the Services are provided on an "as is" and "as available" basis.
9. Indemnity
The Client agrees to indemnify and hold Bright Sparks AI harmless from any claims, losses or expenses arising from the Client's breach of these Terms, misuse of the Services, or failure to obtain necessary consents from End Users.
10. Governing law
These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales, regardless of the Client's location.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to active Clients. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
